Fox Digital – Terms of Service
I’m really glad you’ve chosen Fox Digital to bring your website to life. Over the years, I’ve worked with a wide range of clients, and one thing I’ve learned is that clear expectations make everything run smoother for both sides.
The terms below are simply here to outline how I work, what you can expect from me, and what I’ll need from you along the way. Nothing complicated—just a straightforward framework so your project stays on track and stress-free.

These Terms of Service (“Agreement”) govern all website design, development, hosting, and maintenance services provided by Fox Digital (“Company”). By engaging the Company’s services, the client (“Client”) agrees to the following terms.
1. Scope of Services
The Company provides custom website design, template-based websites, hosting, and maintenance services. The specific scope of each project will be defined prior to commencement.
All services are delivered within the Company’s standard workflows, systems, and hosting environment unless otherwise agreed in writing.
2. Payment Terms – Custom Website Projects
2.1 Project Initiation
A non-refundable deposit of $1000 USD is required to initiate any custom website project.
2.2 Design Approval
Upon approval of the initial design, a payment of $500 USD is required before development begins.
2.3 Final Payment
The remaining balance is due upon completion of the website and prior to delivery or granting access.
2.4 Access to Deliverables
Access to the completed website will only be granted once full payment has been received.
2.5 Payment Methods
Payments are accepted via Stripe or PayPal. Services are currently available to clients located in Canada, the United States, and select European countries.
2.6 Late Payments
Late payments may result in project delays or suspension of work. The Company reserves the right to pause all services until outstanding balances are paid.
3. Project Timelines and Client Responsibilities
Project completion depend on timely client communication and delivery of required materials.
The Client agrees to:
- Provide content, feedback, and approvals in a timely manner
- Respond to communications within a reasonable timeframe
Delays caused by the Client may result in timeline extensions and rescheduling based on availability.
4. Revisions and Scope Control
Projects include a reasonable number of revisions unless otherwise specified.
Any work requested beyond the agreed scope—including additional revisions, features, or design changes—will be subject to additional charges. এসব charges will be quoted and approved prior to implementation.
5. Project Abandonment
If the Client fails to respond to communications or provide required feedback, content, or approvals for a period of thirty (30) consecutive days, the project will be considered abandoned.
The Company will make reasonable attempts to contact the Client prior to this determination.
Upon abandonment:
- The project may be terminated
- All payments made are non-refundable
- The Company retains full ownership of all work produced
The Company reserves the right to reuse, modify, or resell any designs, photos, or any partially completed work.
If the Client wishes to resume the project, a restart fee may apply, and timelines will be rescheduled based on current availability.
6. Ownership and Intellectual Property
Ownership of the final, approved website design is transferred to the Client only upon full payment.
The Company retains ownership of:
- All preliminary designs
- Drafts and unused concepts
- Internal frameworks, systems, and methodologies
Unless otherwise agreed in writing, the Company reserves the right to reuse design elements, structures, and concepts across future projects.
The Company also retains the right to display completed work in its portfolio and marketing materials.
7. Termination of Services
The Company reserves the right to terminate services if the Client:
- Fails to make required payments
- Violates the terms outlined in this Agreement
- Engages in abusive, unlawful, or inappropriate conduct
Termination may result in suspension or removal of services without refund.
8. Template Website Services
8.1 Hosting Prepayment
Template website clients must prepay for hosting at a rate of $216 USD per year.
8.2 Payment Requirement
Hosting fees must be paid in full prior to the start of development.
8.3 Renewal
Hosting renews annually. Clients will be notified approximately one month prior to renewal.
8.4 Non-Payment
Failure to pay hosting fees may result in suspension of the website until payment is received.
8.5 Refund Policy
Hosting fees are non-refundable under all circumstances.
8.6 Fee Adjustments
The Company reserves the right to modify hosting fees with prior notice.
9. Hosting and Maintenance Services
9.1 Requirement
All clients are required to maintain an active hosting and maintenance plan unless otherwise agreed.
9.2 Fees
The hosting and maintenance package is billed at $216 USD per year.
9.3 Included Services
This includes:
- Routine maintenance
- Security updates
- Minor content updates (e.g., text or image changes)
9.4 Administrative Access
The Client must provide Fox Digital with full administrative access to their website for the duration of the service.
If access is revoked:
- The Company may suspend services
- Continued non-compliance may result in termination after notice
9.5 Additional Work
Major updates, redesigns, or new features fall outside standard maintenance and will incur additional charges.
10. Content Guidelines and Compliance
The Client is solely responsible for all content provided and published on their website.
The Client agrees:
- Not to upload content that violates applicable laws or platform policies
- To ensure all content is legally compliant in their jurisdiction
The Company reserves sole discretion in determining whether content meets its standards and may remove or refuse to publish any content at any time.
11. Data and Service Disclaimer
While reasonable efforts may be made to maintain backups and uptime, the Company does not guarantee uninterrupted service or data preservation.
The Company is not liable for:
- Data loss
- Service interruptions
- Third-party failures
12. Limitation of Liability
To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, or consequential damages, including but not limited to:
- Loss of revenue
- Loss of business opportunities
- Loss of data
13. General Terms
- All fees are in USD unless otherwise stated
- This Agreement constitutes the entire understanding between the parties
- Any modifications must be agreed to in writing
14. Acceptance of Terms
By engaging the Company’s services, the Client acknowledges and agrees to these Terms of Service.
